END USER LICENSE AGREEMENT (EULA)

(For Single and Multi-User License)

This SoundMorph End-User License Agreement (or "EULA") is a legal agreement between you (either an individual or a single entity) and SoundMorph inc. ("SoundMorph") for the SoundMorph Audio Content you have licensed which includes the following: (i) designed sound effects, (ii) source sound files and (iii) any printed, "online" or electronic documentation (altogether: “CONTENT”). By licensing, copying or otherwise using the CONTENT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the CONTENT. Copyright laws and international copyright treaties, as well as other intellectual property laws and treaties protect the CONTENT. The rights granted herein are non-transferable and have to be validated by proof of purchase. All rights not expressly granted to you hereunder are reserved by SoundMorph.

GRANT OF LICENSE / MULTI-USER LICENSES

In consideration of the license fee you paid, SoundMorph grants a “MEDIA LICENSE” to you and your assigns (subject to the transfer limitations herein).

         Ai Restrictions

        a. The Licensee agrees that the Licensed Material shall not be used, in whole or in part, as a  basis for the creation or training of artificial intelligence (AI) models, machine learning algorithms, or any similar computational systems designed to mimic, replicate, or generate human-like or automated outputs based on the Licensed Material.

b. Without limiting the generality of the foregoing, the Licensee specifically acknowledges   

           and agrees that the Licensed Material shall not be:

•             Used for the purpose of creating or contributing to machine learning models, deep learning, neural networks, or any form of AI that can generate sound, music, or any content derivative of the Licensed Material.

•            Made available in any form to any third party involved in the development, training, or distribution of artificial intelligence or machine learning systems.

The MEDIA LICENSE for this product is granted only to a single user. If you would like to purchase a multiuser license or need more info, please contact us directly at: info@soundmorph.com . If you are quoted and pay for a multi-user license, then you are covered under the same rules as the single user license, but based on the amount of users you are quoted for by SoundMorph, and such will be reflected in the invoice to your company from SoundMorph.

All CONTENT in this product is licensed, but not sold, to you by SoundMorph for commercial and non-commercial use in music, sound-effect, audio/video post-production, performance, broadcast or similar finished content-creation and production use.

The MEDIA LICENSE includes the non-exclusive right to combine the CONTENT you've purchased for commercial recordings without paying any additional license fees or providing source attribution to SoundMorph.

The MEDIA LICENSE includes:

1.  Mechanical rights

The right to re-record, duplicate and release the CONTENT as part of your product/production in whatever medium you choose (i.e. video tape, film, CD ROM, DVD, digital formats). This does not include the right to resell the CONTENT as a standalone product in whole or in parts.

2.  Synchronization rights

The right to use the CONTENT as a soundtrack "synced" with visual images, or sounds as part of your product/production.

3.  Public Performance Broadcast rights

The right to use the CONTENT as part of the public viewing or broadcast of your product/production, including but not limited to videos, DVDs, web sites, podcasts, multimedia presentations, films, television, and radio.

The MEDIA LICENSE is granted worldwide and unlimited in time.

LIMITATIONS

This license expressly forbids any unauthorized inclusion of the CONTENT in any library (e.g. sample instrument, sound effects library, etc.) online or offline without our express written consent.

The MEDIA LICENSE also forbids any re-distribution method of the CONTENT, through any means, including but not limited to, re- selling, trading, sharing, resampling, mixing, processing, isolating, or embedding into software or hardware of any kind, for the purpose of re-recording or reproduction as part of any free or commercial library of musical and/or sound effect samples and/or articulations, or any form of musical sample or sound effect sample playback system or device.

REPRESENTATION

SoundMorph owns and controls the rights represented herein with respect to the CONTENT that are subject to this Agreement. SoundMorph has and will hold throughout the Territory and during the Term the above listed rights to exploit the CONTENT as set forth herein. SoundMorph shall indemnify and hold you harmless from any and all claims, liabilities and costs, losses, damages or expenses (excluding attorney’s fees) arising out of any breach of these representations.

LIABILITY FOR DAMAGES

SoundMorph is not liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use any SoundMorph product, even if SoundMorph has been advised of the possibility of such damages.

SoundMorph will not be responsible if the CONTENT does not fit your particular purpose. The CONTENT is licensed 'as is' without warranties of any kind. Any similarity to any other CONTENT is purely unintentional. SoundMorph cannot be held responsible for any direct, indirect, or consequential loss arising from the use of any sound samples and software licensed from this site in whatever form, or consequential loss arising from a delayed or lost shipment.

SoundMorph does not accept returns unless you have a defective product. Defective products will be exchanged for the same product for a period of 90 days. No refunds will be given for downloaded CONTENT.

PAYMENT & DELIVERY PROCESS

After payment has been received you will automatically get an email with your user login information and download links to the products purchased within your user account. If you choose the credit card payment option, your card will be debited immediately after the order has been fully placed. At this time we do not ship physical products, and all products are downloadable only through your user account or multi-license user account.

After making a purchase, you agree to receive communications from SoundMorph regarding your purchase and other promotions or information about new products from Soundmorph. Your email may be added to our Newsletter. You are easily able to unsubscribe at any time.

REFUNDS

Downloaded libraries can't be returned, so we can't provide refunds. We may choose do so at our own discretion, however please be aware that as soon as you've downloaded it, you can't return it.

This is a legal agreement between you and SoundMorph Sound Libraries Inc. By using all or any portion of the sound recordings and/or software included in our products, you accept all the terms and conditions of this agreement. This license agreement is proof of license to exercise the rights granted herein and must be retained by you. SoundMorph Inc retains all title to and ownership of sound recordings and/or software and reserves all rights not expressly granted to you.

SINGLE-USER MEDIA PRODUCER LICENSE:

An individual purchase of one product will grant you the personal license to use one or more versions of this product to its full extent, including the royalty-free use of all assets in your productions, recordings and/or performances. You are legally prohibited to distribute, lend, rent or sell your copy of any products in whole or part.

i.               Mechanical Rights: SoundMorph Inc grants the licensee the non-

exclusive right to use the purchased Sound Recordings and/or Software as part of their media productions in whichever medium they choose.

ii.              Synchronization Rights: SoundMorph Inc grants the Licensee the non- exclusive right to use the purchased Sound Recordings as a soundtrack synchronized with visual images, games, or theatrical works.

iii.            Public Broadcast Rights: SoundMorph Inc grants the Licensee the non- exclusive right to use the purchased Sound Recordings or Software as part of a public performance or viewing of their productions

LIMITATIONS:

The Sound Recordings contained within the product may not be resold as part of another sample library or collection of audio tracks using the recordings, in part or in whole. The files can not be combined or layered with other files for sale either. Manipulated or modified recordings of the sound recordings may not be sold as part or another sample library. The sound recordings or software may not be copied or sold for profit, except when used in the licensee’s productions as part of a greater body of work. No Remote Sites may have access to SoundMorph Sound Libraries Inc products or sound recordings unless a multi-user license is purchased. The sound recordings may not be stored as a collection intended for multi-user use without first purchasing a multi-user without first purchasing a multi-user license.

TERMINATION:

The license granted to you is effective until terminated. The license will terminate automatically without any notice from SoundMorph Sound Libraries Inc. if you fail to comply with any term or condition of this agreement. Upon termination, SoundMorph Sound Libraries Inc may also enforce any and all rights provided by the law. You may also terminate the license at any time by destroying SoundMorph sound libraries or software (including any portions or copies thereof) currently in your possession or control. The provisions of this agreement that protect the proprietary rights of SoundMorph Sound Libraries Inc will continue in force after termination.

The License May Not:

i.               Claim ownership or authorship of the Sound Recording and/or Software.

ii.              Store or share the Sound Recordings and/or Software on a server

without a multiuser license, unless necessary to complete a project started by the original single user licensee where said files are already in use in a greater body of work.

iii.            Share or store the Sound Recordings on a public server or torrent site, without the express permission from the Licensor (SoundMorph).

iv.             Sell the Sound Recordings or Software to individuals or groups. (The recordings may be sold as part of your production/product so long as it is not another Sample Library.)

The Licensee May:

i .        Store the collection of Sound Recordings and/or Software on up to two personal computers.

i  i  .       Use the Sound Recordings and/or Software in any type of media

production that isn’t a sample library or collection of audio recordings that are re-sold/ licensed. Such productions include, but are not limited to, music, games, films, websites, live sound, theatre, radio, and broadcast.

i i i .         Use specific Sound Recordings as part of a larger project and share the sounds on other systems in order to complete that specific work, so long as you are not re-distributing, selling the sounds or sharing the general collection (in part or in whole) on a server or with other users without the purchase of a specific multi-license purchase.

LIABILITY:

In no event shall SoundMorph Inc be liable for any damages (including without limitation, incidental, direct, indirect, special or consequential damages, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use or inability to use any product, even if SoundMorph Inc have been advised of the possibility of such damages. (Because some countries do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.)
